Crumbl Gift Card and Vouchers Terms and Conditions

The following Crumbl® Gift Card and Vouchers Terms and Conditions ("Agreement") describes the terms and conditions that apply to your purchase, acceptance, and use of any Gift Card or Voucher. The Gift Card can come in two forms: (i) a physical Gift Card; and (ii) an electronically transmitted eGift Card. The Voucher can come in two forms: (i) a physical card; and (ii) an electronically transmitted eVoucher. In this Agreement, the term "Gift Card" and "Voucher" may be used interchangeably to refer to both the physical Gift Card or Voucher and the eGift Card or Voucher, except where indicated otherwise.

This Agreement is between you and Crumbl Franchising, LLC ("Crumbl"), which is the sole legal obligor to you. Its parent company, subsidiaries, affiliates, franchisees and the officers directors, and employees of each are not liable to you with respect to Gift Cards or Vouchers issued in the United States.

By purchasing, accepting, or using your Gift Card or Voucher, you agree to be bound by this Agreement, the Crumbl Privacy Policy, and, as applicable, the Terms and Conditions. If you do not agree with this Agreement, the Crumbl Privacy Policy, or the Terms and Conditions, then do not purchase, accept, or use the Gift Card or Voucher.

You agree that Crumbl may provide notices, disclosures and amendments to this Agreement, and other information relating to your Gift Card or Voucher by electronic means, including posting such materials online at crumbl.com.

IMPORTANT: THIS AGREEMENT INCLUDES RESOLUTION OF DISPUTES BY ARBITRATION INSTEAD OF IN COURT. PLEASE REVIEW THE PROVISIONS REGARDING ARBITRATION BEFORE PURCHASING, USING, OR ACCEPTING A GIFT CARD OR VOUCHER.

1. About Your Gift Card

Gift Cards are available for purchase at participating Crumbl locations in the United States. Gift Cards may also be purchased from authorized third-party retailers in the United States. eGift Cards are available for purchase on the Crumbl App or at crumbl.com/giftcards. The Gift Card is a Crumbl Gift Card that can be loaded with a dollar value and used to purchase goods and services at participating Crumbl locations in the United States. Gift Cards purchased from authorized third-party retailers may not be reloadable.

The Gift Card may not be used to purchase other Gift Cards and is not redeemable for cash except as required by law. The Gift Card balance never expires, nor are any fees charged in connection with its use. The Gift Card is not a credit or debit card, and no credit card, overdraft protection, deposit account, or depository insurance is associated with it.

2. About Your Voucher

Vouchers are available for purchase at participating Crumbl locations in the United States. The Voucher cannot be loaded with a dollar value and can only be used to purchase the pre-determined good at participating Crumbl locations in the United States.

The Voucher is not redeemable for cash except as required by law. Vouchers do not expire, nor are any fees charged in connection with its use. The Voucher is not a credit or debit card, and no credit card, overdraft protection, deposit account, or depository insurance is associated with it.

Crumbl is authorized to issue Gift Cards and Vouchers for sale or distribution in the United States. Crumbl is also responsible for the operation and maintenance of the Gift Card and Voucher programs in the United States. Crumbl is the sole legal obligor to you. Crumbl Enterprises LLC, and its affiliates, any Crumbl franchisees, and related entities bear no responsibility or liability for the use or malfunction of any Gift Cards or Vouchers, and you hereby knowingly release Crumbl Enterprises LLC and its affiliates, franchisees, and related entities (other than Crumbl Franchising, LLC) from any and all liability or claims of any nature whatsoever arising in connection with the use of the Gift Card or Voucher.

3. No Refunds

Gift Cards and Vouchers are not refundable or redeemable for cash unless required by law. You may not return or cancel your Gift Card or Voucher after it is received. Certain authorized third-party retailers may support alternative refund policies specifically for Gift Cards, so check with the retailer from whom the Gift Card was purchased. Crumbl is not responsible for these alternative policies. Vouchers are not refundable unless required by law. Crumbl does not sell Vouchers from any authorized third-party retailers.

4. Balances

You will not be sent statements of itemized transactions relating to your use of your Gift Card. You may check your Gift Card balance on the Crumbl App, at crumbl.com/giftcard-balance, or at participating Crumbl locations in the United States. The balance you receive when inquiring is an estimate only based on currently available transaction data. In most cases, the balance is adjusted immediately when you make a purchase, but there may be occasions when the balance adjustment is delayed. Vouchers do not have a predetermined balance. Do not attempt to check your balance through any third-party sites. Such third-party sites are likely to be scams, and use of them may result in the theft of your Gift Card and/or potentially other personal information. Crumbl is not responsible for the safety or reliability of non-Crumbl systems or platforms, or any loss of your Gift Card as a result of the use of such sites.

5. Use

Your Gift Card or Voucher is redeemable only for purchases of goods and services at participating Crumbl locations in the United States. eGift Cards require the Crumbl App to purchase goods and services at participating Crumbl locations in the United States. The Gift Cards and Vouchers have no cash value and may not be redeemed for cash (except as required by law). While most of the Crumbl locations in the United States accept the Gift Card for payment and the Voucher for redemption of goods, Crumbl cannot guarantee acceptance at all locations. To confirm acceptance, at a specific location, ask an employee at the location prior to placing your order or call ahead. Your Gift Card or Voucher must be presented at the time of order. Gift Cards or Vouchers may not be resold without the prior consent of Crumbl.

Gift Cards and Vouchers are not targeted towards, nor intended for use by, anyone under the age of 13. If you are between the ages of 13 and 18, you may only use your Gift Card or Voucher under the supervision of a parent or legal guardian who agrees to be bound by this Agreement.

6. Expiration; Fraud

Your Gift Card or Voucher does not expire. No inactivity, service or any other fees will be charged. By purchasing, accepting, or using a Gift Card or Voucher, you agree not to use the Gift Card or Voucher in any manner that is misleading, deceptive, unfair, or otherwise harmful to Crumbl, its parent company, subsidiaries, affiliates, franchisees and the officers directors, and employees of each, or its customers. Crumbl reserves the right to refuse to honor (and to cause participating Crumbl locations to refuse to honor) any Gift Card or Voucher in the event of a disputed credit card charge, or if Crumbl reasonably believes it was obtained or used in a manner that is unauthorized or unlawful.

Crumbl is not responsible for any unauthorized sale of Gift Cards or Vouchers, nor is Crumbl responsible for any third-party fraud or unlawful activity associated with any Gift Card or Gift Card balance or Voucher. If Crumbl reasonably believes any Gift Card or Gift Card balance or Voucher was obtained through fraud or other unlawful or unauthorized means, Crumbl may, in its sole discretion, cancel all impacted Gift Cards or Vouchers and retain all related Gift Card balances without notice or refund to you.

7. Unauthorized Transactions/Lost, Damaged or Stolen Gift Cards or Vouchers

You are responsible for all transactions associated with your Gift Card or Voucher, whether authorized or unauthorized. You should, therefore, safeguard your Gift Card or Voucher and not disclose your Gift Card or Voucher information to anyone. We are not responsible if any Gift Card or Voucher is lost, stolen, or destroyed, or used without your permission. The remaining balance on lost, stolen or damaged cards will not be replaced. Crumbl is not responsible for, and assumes no liability to you for, any unauthorized use of your Gift Card or Voucher, including any scam or scheme that requests payment by Gift Card.

8. Crumbl Does Not Operate Any Locations

All Crumbl locations are owned and operated by independent franchisees of Crumbl. Each location is solely and independently responsible for its legal and regulatory compliance.

9. Arbitration Agreement, Class Action Waiver and Punitive Damages Waiver

PLEASE READ THIS SECTION CAREFULLY – IT MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION AND TO HAVE A TRIAL IN FRONT OF A JURY.

You agree that:

  • any claim or dispute (whether in contract, tort, or otherwise) you may have with Crumbl or any Crumbl location arising from or related to this Agreement or your use of a Crumbl Gift Card or Voucher will be resolved exclusively by final and binding arbitration administered by JAMS and conducted before a single arbitrator using JAMS's Streamlined Arbitration Rules and Procedures ("rules and procedures");
  • this arbitration agreement is made pursuant to a transaction involving interstate commerce, and shall be governed by the Federal Arbitration Act ("FAA"), 9 U.S.C. §§ 1-16;
  • the arbitration shall be held at a location determined by JAMS under its rules and procedures (provided such location is reasonably convenient to you), or at such other location as may be mutually agreed to by you and Crumbl or a Crumbl location;
  • the arbitrator's decision shall be based on these terms and any of the other agreements referenced herein that you may have entered into in connection with the online services;
  • the arbitrator shall apply Utah law consistent with the FAA, and applicable statutes of limitations, and shall honor claims of privilege recognized at law;
  • no claims shall be arbitrated on a class or representative basis as you and Crumbl hereby waive the right to assert claims in any class or representative action; arbitration will therefore only decide the individual claims of you and Crumbl (and/or Crumbl location, as applicable); it is agreed that the arbitrator may not consolidate or join the claims of any other person or party to an arbitration between you and Crumbl (and/or Crumbl location, as applicable) under this provision;
  • you and Crumbl empower the arbitrator with the exclusive authority to resolve any dispute relating to the interpretation, applicability or enforceability of these terms or formation of this contract, including the arbitrability of any dispute and any claim that all or any part of these terms are void or voidable; and
  • with the exception of subpart (6) above, if any part of this arbitration provision is deemed to be invalid, unenforceable or illegal, or otherwise conflicts with the rules and procedures, then the balance of this arbitration provision shall remain in effect and shall be construed in accordance with its terms as if the invalid, unenforceable, illegal or conflicting provision were not contained herein. If, however, subpart (6) above is found to be invalid, unenforceable or illegal, then the entirety of this arbitration provision shall be null and void, and neither Crumbl nor you shall be entitled to arbitrate their dispute. In such event, you agree to bring any and all claims arising out of or related to these terms or the online services in either the state courts of Utah County, Utah or the United States District Court for the District of Utah. Further, both you and Crumbl agree to waive any right to a trial by jury. Finally, this arbitration provision is reciprocally binding on all parties, such that both you and Crumbl are required to arbitrate their claims against one another. 10. Limitation of Liability

Crumbl makes no warranties, express or implied, with respect to your Crumbl Gift Card or Voucher including, without limitation, any express or implied warranty or merchantability or fitness for a particular purpose. In the event that your Gift Card or Voucher is non-functional, your sole remedy, and Crumbl's sole liability, shall be the replacement of such Gift Card or Voucher. Certain state laws do not allow limitations on implied warranties or the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above disclaimers, exclusions, or limitations may not apply to you. Unless prohibited by law, you and Crumbl agree to limit claims for damages or other monetary relief against each other to direct and actual damages and that neither you nor Crumbl will seek any indirect, special, consequential, treble, or punitive damages from the other.

11. Choice of Law

The laws of the State of Utah, United States of America, without regard to principles of conflict of laws, apply to this Agreement and use of your Crumbl Gift Card or Voucher. If any part of this Agreement is unlawful, void, or unenforceable, that part will be deemed severable and will not affect the validity and enforceability of any remaining provisions.

12. Changes to Agreement

Crumbl reserves the right to change this Agreement from time to time in its discretion, which changes Crumbl may provide to you by any reasonable means, including without limitation, by posting the revised version of this Agreement at crumbl.com ("Updated Terms"). Your use of your Gift Card or Voucher after Crumbl has posted the Updated Terms constitutes your agreement to the Updated Terms. The Updated Terms will be effective as of the time of posting, or such later date as may be specified in the Updated Terms and will apply to your use of your Gift Card or Voucher from that point forward.
